1. Overview

Brand Setu Studio is an AI-powered branding and digital services agency for D2C founders. These Terms apply to all visitors, users, and clients who access or use our services.

2. Services

We provide branding, AI-driven brand tools, Shopify/D2C store setup, video editing, and marketplace optimization services. Each engagement is governed by its own service agreement or invoice outlining scope, timeline, deliverables, and payment terms.

3. Client Responsibilities

You agree to provide accurate information required for the project, use our services for lawful purposes, and provide timely feedback/approvals to keep timelines on track. Delays in client feedback may extend delivery timelines accordingly.

4. Intellectual Property

Clients receive full ownership of final creative deliverables (branding, designs, copy, videos) upon full payment. For custom-built software/AI tools, clients receive exclusive usage rights to their deployed instance. Brand Setu Studio retains ownership of the underlying source code, architecture, and frameworks, and may reuse general components across other projects. Source code handover, if requested, is available as a separate premium engagement under a distinct agreement.

5. AI-Generated Content

Some deliverables are created using AI tools. We review all AI-assisted content for quality, relevance, and brand fit before delivery. However, AI-generated content can carry inherent risks around originality and copyright that no agency can fully eliminate. We recommend clients conduct their own legal review before using AI-generated content in contexts with high compliance risk (e.g., trademark filings, patent-sensitive material).

6. Payments

We do not process payments on this website. Pricing and payment terms are discussed and finalized directly via WhatsApp/email after initial consultation. Each engagement is governed by a signed agreement or invoice, which includes payment schedule and refund/cancellation terms specific to that project. Late payments beyond the agreed due date may incur interest at 1.5% per month.

7. Revisions

Each service includes the number of revisions specified in the service agreement. Additional revisions beyond that scope will be billed separately.

8. Confidentiality

Both parties agree to keep shared business information, pricing, tools, and processes confidential and not disclose them to third parties without consent, except as required by law.

9. Termination

Either party may terminate an engagement with written notice. The client remains responsible for payment for work completed up to the termination date. Brand Setu Studio may terminate access if these Terms are violated.

10. Limitation of Liability

Brand Setu Studio is not liable for indirect, incidental, or consequential damages arising from use of our services or deliverables. Total liability is limited to the amount paid by the client for the specific service in question.

11. Governing Law

These Terms are governed by the laws of India, with disputes subject to the jurisdiction of courts in Pune, Maharashtra.

12. Changes to Terms

We reserve the right to modify these Terms. Changes take effect upon posting to this website. Continued use of our services after changes constitutes acceptance.
